Four execution practices,
built to turn intent into action.

White Bear supports listed companies from strategy through to execution across takeover defense, capital raising, shareholder-base design and communication. We work from a real understanding of capital-markets questions, then bring each measure down into a form that moves on the ground. That is White Bear's service.

01 / Defense

Takeover defense & capital strategy execution

Capital Defense

Takeover proposals, activist response, general meetings, proxy contests. In a listed company's decisive moments, business judgment and market communication are tested at the same time. White Bear goes beyond framing the questions of capital strategy and shareholder response — we carry the necessary touchpoints, information paths and concrete measures through to execution. Not stopping at the debate over a defense plan, but turning it into something that moves.

What we do

  • Framing the questions of defense and shareholder response
  • Information design for general-meeting and proxy situations
  • Vote reading and vulnerability mapping via our voting-results database
  • End-to-end proxy handling — issuance, mailing and collection
  • Building shareholder-facing touchpoints and paths
  • Making measures concrete and supporting execution

For situations like

  • You want to be ready for a takeover proposal or TOB
  • You want to organize your response to activist shareholders
  • You are preparing for a general meeting or proxy situation
  • You want to work out where to start

02 / Fundraising

Capital-raising execution support

Fundraising

Capital raising is not decided by terms alone. Without alignment with existing shareholders, a clear explanation to the market, and a connection to the growth strategy, the quality of execution falls. White Bear supports the full path — framing the funding questions, designing the message, and building an explanation structure that lands with investors and shareholders. Not simply gathering capital, but making it land with conviction.

What we do

  • Framing the funding approach
  • Structuring the market explanation
  • Connecting it to the growth strategy
  • Execution support for the communication and the path

For situations like

  • You want to raise capital but your market explanation is weak
  • You want to raise capital without breaking alignment with existing shareholders
  • Your funding story is fragmented and hard to explain
  • You want to organize disclosure, IR and the web path together

03 / Shareholder

Shareholder-base design & membership programs

Shareholder Base

Rethinking shareholder perks and retail-shareholder measures is not a one-off marketing campaign. At its core it is a design question: which shareholders do you want, and how do you build a lasting relationship with them. White Bear supports redesigning the shareholder base, building membership programs, and creating continuous touchpoints — not just the concept of the program, but the member journey itself.

Live operating data (as of June 2026) from “INTRANCE Members” (Intrance Inc., securities code 3237; intrance-members.com), a shareholder membership platform that White Bear plans, builds and operates end to end. Three days from engagement to IR disclosure; roughly two months to full system release. Shareholder-register matching, member management, information delivery, digital gifting, voting support and engagement analytics are unified in a single platform (717 commits, around 60 admin screens, 31 database tables).

What we do

  • Redesigning shareholder perks
  • Designing shareholder membership programs
  • Building continuous touchpoints
  • Setting up shareholder-facing communication paths

For situations like

  • You want to rethink perks but avoid selling pressure
  • You want to design a lasting relationship with retail shareholders
  • You want to create a shareholder club or membership program
  • You want a path that joins letters, web, LINE and email

04 / Communication

Shareholder communication & touchpoints

Communication & Engagement

In a listed company's special situations, simply holding the information is not enough. You need a structure that reaches the right people, in the right order, in the right form. White Bear works across owned channels such as note, letters, web, LINE and email to design touchpoints with shareholders and the market. Less about the act of communicating, more about the structure that makes it land.

What we do

  • Designing owned-channel communication (e.g. note)
  • Connecting letters, web, LINE and email
  • Building an information structure that meets accountability
  • Ongoing operation of shareholder touchpoints

For situations like

  • Your communication is fragmented and weak as a value story
  • Your shareholder touchpoints are handled case by case
  • The right information is not reaching the right people
  • You want to structure communication with the market and shareholders
